These Terms of Use ("Terms") govern your access to and use of the Overlay mobile application (the "App"), developed and operated by Михайло Можайський and Катерина Кочубей ("we," "us," "our," the "Developers"). By downloading, accessing, or using Overlay, you agree to be bound by these Terms. If you do not agree, do not use the App.
Overlay is a creator-first photo editing tool offering a curated collection of handcrafted stickers, frames, backgrounds, and fonts, designed to help users transform photos into personalized, distinctive visual content.
You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to use Overlay. By using the App, you represent that you meet this requirement. Overlay is not specifically directed at children, though we recognize younger users may access it; parents/guardians are encouraged to supervise use accordingly.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use Overlay on devices you own or control, solely for your personal, non-commercial use (unless otherwise agreed).
You may not:
All stickers, frames, backgrounds, fonts, design assets, and the Overlay software itself are owned by the Developers or their licensors and are protected by copyright and other intellectual property laws. Your license under Section 3 does not transfer ownership of these assets to you.
Your Content: You retain full ownership of the photos and personal content you edit within Overlay. We do not claim ownership over your original photos or the final edited images you create, except to the extent they incorporate our proprietary stickers, frames, backgrounds, or fonts, which remain our intellectual property and are licensed to you only for use within edited content you create and export from the App.
Overlay may offer optional in-app purchases and auto-renewing subscriptions ("Subscriptions") for premium features or content.
You agree not to use Overlay to:
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE DEVELOPERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR REVENUE, ARISING FROM YOUR USE OF OR INABILITY TO USE THE APP, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE 12 MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.
We may suspend or terminate your access to the App at our discretion if you violate these Terms. You may stop using the App at any time by deleting it from your device.
The App integrates with third-party services, including Firebase (analytics), Apple App Store, Google Play Store, and RevenueCat (subscription/payment processing). Your use of these integrated services is also subject to their respective terms and privacy policies.
We may update these Terms from time to time. Material changes will be reflected by an updated "Last Updated" date. Continued use of the App after changes take effect constitutes your acceptance of the revised Terms.
These Terms shall be governed by the laws of Ukraine, without regard to conflict of law principles.
